These Terms & Conditions (“Terms”) govern all orders, deliveries, sales, exchanges and rentals of CO2 tanks by CO2 HERO LLC (“CO2 Hero,” “we,” “us”) to you, the customer (“you”). By submitting a service request, placing an order by phone or text, or accepting a delivery, you agree to these Terms and to our Privacy Policy. If you are ordering on behalf of a business, you confirm you are authorized to accept these Terms for that business. You must be at least 18 years old to order.

1. Service and service area

• What we do: we deliver filled CO2 tanks, exchange empty tanks for filled ones, sell tanks, and rent tanks on a temporary basis.
• Service area: Brooklyn and Queens, New York only. We may decline requests outside this area.
• Same-day dispatch: we aim to dispatch the same day a request is confirmed. Any estimated arrival time is a good-faith estimate only. Arrival times are not guaranteed and may be affected by traffic, weather, parking, building access, supply availability and other factors outside our control.
• No installation: our service is limited to dropping off and picking up tanks. We do not install, connect, disconnect, adjust, inspect, repair or service regulators, lines, beverage systems or any other customer equipment. Our staff will not connect tanks to your equipment, even if asked.
• Access: you must provide safe access to the delivery location and have an authorized person present to receive the delivery. We may refuse or stop a delivery if we believe conditions are unsafe.

2. Pricing, fees and taxes

• Prices: product prices and delivery fees are listed on our Pricing page and confirmed when you place your order. We may change prices at any time, but changes do not affect orders already confirmed.
• Hydro test inspection fee: if the empty tank you give us for an exchange is past its hydrostatic test date and we accept it, a $49 inspection fee is due. We may still refuse any tank that does not meet the conditions in Section 4.
• No other surcharges: we do not charge surcharges beyond the listed prices, delivery fee, applicable taxes, the hydro test inspection fee above and, for rentals, the refundable deposit.
• Delays: delivery fees are not refunded or reduced if a delivery is delayed.
• Sales tax: applicable New York State and local sales tax is added to your order unless you give us a valid, completed New York exemption or resale certificate at or before the time of delivery. We cannot apply tax exemptions after delivery.

3. Payment, cancellations and refunds

• When you pay: payment is due at the time of delivery.
• How you pay: we accept credit and debit cards and ACH bank transfers, processed through Jobber Payments and Stripe. By paying, you authorize us to charge the payment method you provide for the order total, including taxes and any rental deposit.
• Cancellations: you may cancel by calling or texting us before your delivery arrives. Once you submit a service request, the delivery fee applies and will be charged even if you cancel. We may waive the delivery fee at our sole discretion.
• No refunds after drop-off: all sales and exchanges are final once the tank is delivered. We may consider a refund or exchange case by case, at our sole discretion, for example if a tank is delivered empty or defective. Contact us within 24 hours of delivery to report a problem.

4. Tank exchanges, sales and rentals

Inspection

We visually inspect tanks at delivery and at pickup, and may photograph them to record their condition. You may be present for the inspection.

Exchanges

• The empty tank you give us must be the same size, in serviceable condition, free of visible damage, and within its hydrostatic test date. We may refuse any tank that does not meet these conditions.
• When we exchange tanks, ownership of your empty tank transfers to us and ownership of the filled tank transfers to you. Exchanged tanks are not the same physical tanks you gave us.

Sales

When you buy a tank, ownership and responsibility for the tank pass to you at delivery.

Rentals

• Rental period: 2 weeks from delivery. Pickup is included in the rental price.
• Ownership: rented tanks remain our property at all times. You may not move them from the delivery address, refill them elsewhere, or lend or transfer them to anyone else.
• Deposit: a refundable deposit of $200 per tank is collected at delivery.
• Refund: after we pick up and inspect the tank, we refund the deposit within 5 business days. When the funds appear in your account depends on your card issuer or bank.
• Forfeiture: you forfeit the deposit if the tank is not returned, or if it is damaged beyond normal wear (for example dents, valve damage, tampering, or missing parts). You also forfeit the deposit if the tank is not available for pickup within 2 days after the rental period ends. No late fee is charged during those 2 days. Customers may request an extension before the rental due date; extensions are subject to our approval.
• Responsibility: you are responsible for the rented tank, including loss, theft or damage, from delivery until we pick it up.

5. Safety and customer responsibilities

CO2 is a compressed gas. It can cause serious injury or death if tanks are mishandled or if gas builds up in an enclosed space. Once a tank is dropped off, you are solely responsible for:

• storing tanks upright and secured by chain or strap to a wall or rack;
• keeping tanks away from heat sources, open flames and direct sunlight;
• providing adequate ventilation and appropriate CO2 detection, especially in basements, walk-in coolers and other enclosed spaces;
• connecting and disconnecting tanks, and using regulators, fittings and equipment that are suitable and in good working order;
• following your equipment manufacturer’s instructions and all applicable laws, fire codes and workplace safety rules;
• training anyone at your location who handles tanks;
• complying with any requirements, permits, inspections or orders of fire, health, building or workplace safety authorities (such as the FDNY or OSHA) that apply to storing or using CO2 at your location; and
• taking any other precautions reasonably necessary for the safe storage, handling and use of CO2, whether or not listed above.

In an emergency: if you suspect a CO2 leak, or anyone feels dizzy, short of breath or has a headache, leave the area immediately, ventilate if it is safe to do so, and call 911.

6. Warranties, liability and indemnification

Disclaimer of warranties

We source CO2 from licensed suppliers and check tanks for visible damage and a current hydrostatic test date before delivery. EXCEPT AS STATED IN THESE TERMS, OUR PRODUCTS AND SERVICES ARE PROVIDED “AS IS.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CO2 HERO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST SALES, SPOILED PRODUCT OR BUSINESS INTERRUPTION, INCLUDING DAMAGES CAUSED BY A DELAYED OR MISSED DELIVERY. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THAT ORDER. Nothing in these Terms limits liability that cannot be limited under New York law, including liability for our gross negligence or willful misconduct.

Indemnification

You agree to defend, indemnify and hold harmless CO2 HERO LLC and its owners and agents from any claims, losses, damages and costs (including reasonable attorneys’ fees) arising from your storage, handling, connection or use of tanks after drop-off, your equipment, or your breach of these Terms, except to the extent caused by our gross negligence or willful misconduct.

7. Text messages and calls

• Consent: by giving us your phone number on our request form, by phone, or by text, you agree that CO2 HERO LLC may call and send text messages to that number about your requests and orders. This includes dispatch updates, arrival notices, visit reminders, rental pickup reminders, billing notices and replies to your questions. Messages may be sent using automated technology.
• Marketing texts (optional): our request form includes a separate checkbox to receive marketing text messages from CO2 HERO LLC, such as offers and service updates. We send marketing texts only if you opt in. Consent to receive texts, including marketing texts, is not a condition of purchase. You can request service by calling us instead.
• Frequency and cost: message frequency varies with your orders. Message and data rates may apply.
• Opt out: reply STOP at any time to stop all text messages, or reply STOP MKT to stop marketing texts only and keep receiving messages about your orders. You may receive one final message confirming your opt-out. Reply HELP for help, or contact us at info@co2hero.net. If you opt out, we may contact you by phone or email about open orders.
• Your number: you confirm you are the account holder for the number you provide, or are authorized to use it. Tell us if your number changes or is reassigned.
• Carriers: mobile carriers are not liable for delayed or undelivered messages.
• Privacy: we do not share your mobile number or text consent with third parties for their marketing. See our Privacy Policy.

8. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute arising from these Terms or our services will be heard exclusively in the state or federal courts located in Kings County, New York, and you consent to their jurisdiction. Before filing a claim, each party agrees to try to resolve the dispute informally by contacting the other in writing and allowing 30 days for a response.

9. General terms

• Events beyond our control: we are not responsible for delays or failures caused by events outside our reasonable control, such as severe weather, traffic incidents, road closures, supply shortages, or government actions.
• Severability: if any part of these Terms is found unenforceable, the rest remains in effect.
• Entire agreement: these Terms, our Pricing page and your order confirmation are the entire agreement between us for each order.
• No waiver: our failure to enforce any part of these Terms is not a waiver of our right to enforce it later.

10. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date and applies to orders placed after it is posted.
